Please read these Terms and Conditions ("Terms") carefully before accessing or using www.edumyze.com (the "Site") or any services offered by Edumyze ("Edumyze," "Company," "we," "us," or "our"). These Terms constitute a legally binding agreement between you ("you," "your," or "Customer") and Edumyze governing your access to and use of the Site and our IT services (collectively, the "Services").

By accessing the Site, creating an account, or using any Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy. If you do not agree, you must not access or use the Services.

1Definitions

"Agreement"

These Terms, together with the Privacy Policy and any Order Form, Statement of Work (SOW), or service agreement executed between you and Edumyze.

"Order Form" or "SOW"

Any document specifying the scope, fees, and duration of Services purchased.

"Content"

Any data, text, files, code, or materials submitted, uploaded, or transmitted through the Services.

"User"

Any individual who accesses or uses the Services, including employees or contractors acting on behalf of a Customer.

2Eligibility

The Services are intended solely for use by adults. By using the Services, you represent and warrant that:

You are at least 18 years of age;
You have the legal capacity and authority to enter into this Agreement, and, if entering on behalf of an organization, that you are authorized to bind that organization;
Your use of the Services will comply with all applicable laws and regulations.

3Description of Services

Edumyze provides information technology services as described on the Site or in an applicable Order Form or SOW, which may include (without limitation) consulting, managed IT support, systems integration, technical advisory, and related services. Specific deliverables, timelines, and service levels will be set out in an Order Form or SOW where applicable. In the absence of a signed Order Form or SOW, these Terms govern your use of the Site and any self-service tools made available.

We reserve the right to modify, enhance, suspend, or discontinue any part of the Services at any time, with or without notice, provided that any material adverse change to Services under an active paid engagement will be communicated to affected Customers in advance where reasonably practicable.

4Accounts and Registration

4.1 Creation

Certain features require an account. Provide accurate, current, and complete registration details and keep them updated.

4.2 Security

Maintain confidentiality of credentials. Notify us immediately at hello@edumyze.com for any security breach.

4.3 Accuracy

We may suspend or terminate accounts containing information we reasonably believe to be false or outdated.

5Acceptable Use Policy

You agree that you will not, and will not permit any third party to:

Use the Services for any unlawful, fraudulent, or unauthorized purpose;

Violate any applicable local, state, national, or international law or regulation;

Attempt to gain unauthorized access to any systems, networks, servers, or accounts belonging to Edumyze or any third party;

Introduce viruses, worms, trojan horses, malware, or other harmful or malicious code;

Use any robot, spider, scraper, or other automated means to access the Services without our prior written consent;

Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code;

Resell, sublicense, or commercially exploit the Services without our prior written authorization.

6Fees, Payment, and Billing

Invoices & Terms

Invoices are due within thirty (30) days. Late payments may accrue interest at 1.5% per month or the max rate permitted by law.

Taxes & Refunds

Fees exclude taxes. All fees are non-refundable except as expressly stated in an applicable Order Form or required by law.

7Customer Responsibilities

Provide timely access, maintain backups of your own data and systems, and ensure necessary licenses and rights are granted.

8Intellectual Property

All pre-existing tools, methodologies, and site materials remain Edumyze IP. Customer retains content ownership, granting a license to perform services.

10Data Protection & Security

Collection and use governed by our Privacy Policy. We implement reasonable administrative and technical security safeguards.

12Confidentiality

Both parties agree to protect non-public proprietary information using standard commercial care and restrict access to authorized personnel only.

!13 & 14. Warranties & Limitation of Liability

EXCEPT AS EXPRESSLY SET FORTH IN SECTION 13.1, THE SERVICES AND SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

(A) EDUMYZE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY.

(B) EDUMYZE'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO EDUMYZE FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE SIX (6) MONTHS PRIOR.

16Termination & Governing Law

Termination

Either party may terminate upon 30 days' notice for convenience, or immediately upon material breach if un-cured within 15 days.

Governing Law

Governed by the laws of [Insert Jurisdiction] without regard to conflict of law principles, with exclusive venue in local courts.
